1. DEFINITIONS
In the context of these conditions:
(i) “The Company” means Hortisystems UK Limited
(ii) “The Customer” means the Account Applicant or person who buys or agrees to buy goods from the Company.<br>
2. PRICES
(i) Prices, discounts and specifications shown in any price list may be subject to alteration without notice.
(ii) Prices quoted and prices shown are exclusive of Value Added Tax which shall be paid by the Customer at the rate and in the manner for the time being prescribed by law.
(iii) Prices shown are exclusive of charges for postage and carriage (plus VAT) which shall be paid in addition and in accordance with clause 4 (ii).
(iv) The pictures and diagrams are used to show the general type of product and should not be taken as an exact description of what will be supplied
3. PAYMENTS
Unless otherwise stated in the quotation:
(i) Payment is required in full before goods are despatched..
4. DELIVERY
(i) Standard delivery is by post or a 3-day carrier service, however, the Company may vary this at any time.
(ii) Standard delivery to England, Wales and Scotland is free of charge for orders of stock items above the Company’s prevailing threshold level. This may be changed at any time and should be confirmed by the Customer at the time of order. Delivery charges and packing for all other orders are extra. Deliveries outside the specified areas are charged on an individual basis.
(iii) Goods held in stock are normally dispatched within 24 working hours of receipt of order. Large, bulky and non-stock orders may take longer to organize. Customers should enquire at the time of order if goods are required by a specific date.
(iv) The Company may, at its discretion, deliver the goods by installments in any sequence.
(v) Where the goods are delivered by installments, no default or failure by the Company in respect of any one or more installments shall invalidate the order in respect of goods previously delivered or undelivered goods.
(vi) The Company will not accept liability for damage or loss arising from delay in transit.
(vii) The Customer shall give the Company notification of damage or part loss in transit not later than 3 days from delivery to enable the Company to comply with the carrier’s Conditions of Carriage as affecting loss or damage in transit.
5. CANCELLATION
The Company retains the right to charge Customers in full or in part for cancelled or returned goods which were ordered specifically for them or that are not normally held in stock. Goods will be returned to the Company at the Customer’s own cost.
6. TITLE AND RISK
(i) The goods shall remain the property of the Company until payment has been received in full. The Customer shall authorise and agree to representatives of the Company having access to his/her premises for recovery of goods in the event of non-payment.
(ii) The Company reserves the right to recover property from third parties and the Customer needs to inform the third party of this provision.
7. FORCE MAJEURE
Neither party shall be liable for any delay in performing any of its obligations under the Contract if such delay is caused by circumstances beyond the reasonable control of the party and such party shall be entitled to a reasonable extension of time for the performance of such obligations.
8. VARIATION
(i) These Terms and Conditions shall be incorporated into the Contract to the exclusion of any other terms and conditions stipulated or referred to by the Customer.
(ii) No variations or amendments of this contract shall be binding on the Company unless confirmed by the Company in writing.
9. GUARANTEE
All goods are believed to be of the highest quality. However, the Company will not be liable for more than the value of any defective product. If, within the guarantee period (if any) recognised by the Company’s supplier or manufacturer, the goods are proved to be defective in workmanship, materials or design, the Company has the option to replace, repair or refund the price of the goods concerned.
